The Canadian Public Accountability Board (CPAB), Canada’s public company audit regulator charged with protecting the investing public’s interests, is seeking candidates for its board of directors.

CPAB’s board currently has ten directors.  Directors are appointed by the Council of Governors.  In accordance with the board’s composition requirements at least five directors must be non-accountant directors, at least three must be professional accountant directors and at least two must have non-audit regulatory experience or audit oversight regulatory experience.  In view of the current board composition and anticipated vacancies over the next few years, CPAB is looking for candidates with any of the above qualifications.

As a director, you will actively participate in board deliberations, providing credible stakeholder perspectives and constructive challenge of management, while striving for consensus building in the board’s overall oversight role.  You will attend board meetings (approximately five per year, four of which are usually held in Toronto) and serve on one board committee.

CPAB values diversity, equity and inclusion. To ensure breadth of expertise and calibre of directors, the board takes a skills-based approach to recruitment while also striving to identify candidates who are representative of the Canadian population.  Applicants are considered based on their relevant experience and knowledge, and candidates with senior management (C-suite), board, regulatory or regulatory/audit oversight experience are preferred.  Other qualifications being sought include experience with strategy and governance, and proficiency in both official languages is considered an asset.  The successful candidate will be collaborative and respectful, and a strong proponent of inclusion.
