Corporate Legal Counsel

Halifax Water is the municipal water, wastewater and stormwater utility serving the residents of HALIFAX and is an autonomous, self-financed utility, regulated by the Nova Scotia Utility and Review Board and incorporated under the Halifax Regional Water Commission Act.  Halifax Water is a joint stock company with HALIFAX deemed as its sole shareholder.  With water, wastewater and stormwater governance established under the purview of the Halifax Water Board of Commissioners and the Nova Scotia Utility and Review Board, the focus of Halifax Water is to renew aging infrastructure, comply with Federal wastewater regulatory requirements and position the utility for service and growth.  Current annual revenues are approximately $140 million, with capital budgets ranging from $70 million - $120 million per year and an asset base of approximately $1.4 billion.

Reporting to the General Manager, who is the Chief Executive of Halifax Water, and as a member of the Executive management team, the Corporate Legal Counsel is responsible for providing legal advice, guidance and services to the Executive management team and ensuring that Halifax Water conducts its business in compliance with its governing statutes and all applicable legislation and regulations. Working with a small in-house team, the Corporate Legal Counsel will provide and manage a range of legal services and corporate governance practices such as advice and guidance during property and land purchases, lease agreements, contract reviews and negotiations, regulatory affairs, key project management initiatives and, as required, human resources functions. The Counsel will also be the Secretary to the Board of Commissioners, providing centralized corporate secretarial services to the Board, ensuring continuous improvement and implementation of best practices in corporate governance.  The Counsel will take a collaborative and proactive approach to ensuring the organization’s interests are appropriately protected, will ensure that all transactions and initiatives meet all legal and compliance requirements, and will keep Halifax Water’s Executive management team and Board advised of all legal or regulatory developments, potential areas of risk and the progress toward established goals.

The ideal candidate has a LL B/JD and at least 10 years of successful and progressive experience as a corporate counsel or senior corporate lawyer. You are action-oriented, proactive, and highly capable of managing a variety of legal activities, while providing effective counsel to the Executive management team, the Board of Commissioners and various business units. Drawing upon extensive experience in contracts and labour law, you can lead all legal services for Halifax Water with high integrity and transparency and consistently provide sound judgment, advice, analysis and recommendations upon which significant business decisions can be made. You can articulate complex legal issues simply and concisely by drawing upon your strong interpersonal and communication skills; you are a fair but firm negotiator who can build trust and good working relationships with a variety of internal and external stakeholders as well as a unionized workforce; can recommend and coordinate the implementation of policies and procedures which ensure compliance with all relevant laws, regulations and standards; can set the course for a team and help develop their individual skills. Experience working within a regulated environment/public utility and knowledge of provincial Acts, municipal by-laws, administrative law and water/wastewater/stormwater regulations would be valuable assets.
